Effective November 1, 2004

Definitions
"Agreement" means this Providers’ Services Agreement. "We," "us" and "our" refer to Providers Resource Network® also known by acronym PRN™, a subsidiary of BIG®Corporation. "You" and "your" refer to the person, employee, registered agent, company, or corporation in whose name a service is arranged or delivered. “Client” means a person, or entity which professional service is rendered, or one who uses a social service entity. "Service" means us providing you with the use of information, that identifies a client, by referral, arrangement, planning, or coordination or otherwise communicated that results in work done for others as an occupation by you. Our "Business Days" are Monday through Friday; national holidays may not be included. "State" means the State of
Virginia.

Agreement; Amendments
We agree to provide service for you and to perform according to this Agreement. By signing, receiving, or accepting a client or by permitting anyone else to sign, receive, or accept a client coordinated for your business, you agree to the provisions of this Agreement, which is subject to amendment, and further agree that this Agreement is binding on your successors, representatives and assigns. We may from time to time adopt new or amended provisions, which will be effective after notice is given or has been posted on our web site as indicated on the Providers Services Agreement Form or as otherwise permitted by law. 

Acceptance of Referral

PRN™ will make referral on behalf of its Client or client representative. Once you have accepted the referral by agreeing to provide service, or by receiving the client for service, you have entered into this Agreement.  Upon initial services provided by you to the client, such as residential care beyond 24 hours or a clinical, medical, or professional service appointment completed by you and the client referred, you shall pay us a client locator fee, set forth, within five business days. 


Ownership and Use of Information
The client referral information is and will remain our property. However, you will be solely and completely responsible for the possession, use and control of client information and its confidentiality.  You must surrender the information to us immediately upon request. The Client Information may not be used for third party referrals, or distribution.  Declining a referral with the intent to provide service to the client without paying us a Client Finders Fee is Theft of Services and will result in legal action.  We will file a suit for any illegal transactions.

Services Sold

Clients, and client information is not for sale and cannot be purchased for a price. The Client Referral fee is a fee for locating, coordinating, and or arranging for services that you may provide as a professional service for the client; hence you are paying us for locating clients for your occupation or business.  You may not pay clients or client representatives for referrals, as this is a criminal offense punishable by law and considered a conflict of interests.  PRN™ is a public relations network that provides client/service coordination for providers and resource agencies. 

Honoring Transactions;
Under the terms of this agreement you must pay a Client Finders Fee once you accept and or provide a service to a client represented by Providers Resource Network to you, whereas we provided you with the use of information that identifies a client by referral, arrangement, planning, or coordination or other means of communication that results in work done for others as an occupation by you.  Providing service to the client for any period within 1 year without paying us a Client Finders Fee is Theft of Services and will result in legal action.  We will file a suit for any illegal transactions.

Client Finders Fee

The Client Finders fee is equivalent to your (the providers) daily rate of services or the minimal cost per diem whichever is greater.  The cost per diem is determined by CSA and or our agency. 

 

The Current Client Finders Fees are as follows:

Residential Care Facilities: ($500.00<or>Daily Rate)

Group Homes: ($500.00<or>Daily Rate)

All others: ($375.00<or>Daily Rate)

 

Paying for Services

The Provider is obligated to pay a Client Finders Fee from the initial session or intake of client. Payment is expected within 3-5 business days and is considered late after 20 business days.  Payments received within 5 (five) business days may reduce payment by 10%; payments received after 21 business days may be accessed a 10% late fee each 21st business day.   Collection fees may apply.

 

Methods of Payment Accepted

Payments are accepted in form of check or certified funds to:

  1. PRN, 8604 B. Staples Mill Rd. Richmond, Virginia 23228
  2. Payments can be made in person to the PRN Representative at the provider location or in our office located at 8604 B. Staples Mill Rd. Richmond, Virginia 23228


Our Obligation for Failure to Make Appropriate Referral
PRN™ will make every effort to provide accurate and complete client referral information including medical, mental health, criminal, disability, risk factors and behaviors. If we fail to provide such information to you that was given to us by the referral source and that failure results in a failed admission of less than 72 hours, we will review the admissions referral and determine when and if refund is appropriate.  If we agree that you are not liable for payment and have not received payment from you, you will not need to submit payment.  However, if we do not agree that failed placement was the result of miscommunication or incomplete referral information given to the best of our knowledge you will be held to the terms of “Paying for Servicesabove. All referral appeals must be made in writing to the business mailing address, faxed to 1(888)9-PRN-FAX, or emailed to Appeal@VAPRN.us. In event of appeal, you shall receive a written explanation of our decision within 20 business days.  If the client remains in your care beyond 72 hours there shall be no appeal, no exceptions.

We will not be liable, for instance:

  1. If, through no fault of ours, you do not request of us the appropriate admissions criteria before admission;
  2. If, through no fault of ours, the client or client representative intentionally or unknowingly withheld information from PRN™;
  3. If the client or client representative or PRN™ was not able to disclose information where protected by law or release of information and you knew about the constraint before accepting the client;
  4. If circumstances beyond our control prevent the divulgence of information, despite reasonable efforts that we have taken;
  5. Liability ultimately lies between you and the client or client representative who signs the client application as guardian, client, and your agency representative;
  6. There may be other exceptions stated in this or other agreements with you.

Foreign Clients; Immigrants; and non-English Speaking Clients
Incumbent upon PRN™ having knowledge of citizenship and the ability to interpret non-English language, we will attempt to convey information to the best of our ability, but are not responsible for the agreement between you and the client or client representative. 


Preauthorized Admission

In the event the client has made previous arrangements with you to arrange for admission but utilizes our service to coordinate the arrangement, complete the application, or have any involvement with the receipt of client you shall be held to this Agreement.

Right to Stop Admission

If for any reason either party (Client, PRN, or Provider) decides to stop admission or receipt of services there shall be no liability unless services are provided by you to this client within (1) one year of coordination. 

 
Our Security Interest in Client Confidentiality
PRN™ has adopted a privacy policy that is available on our client website at www.VAPRN.com and in our office; by accepting a client referral you agree to uphold the client’s right to privacy and confidentiality as outlined by our company, State, and Federal regulations.


Notices
Notices from you to us will be effective upon our receipt and reasonable time to process. Notices to you from us will be effective upon mailing to the last known address shown by our records or as otherwise provided in this Agreement.

Cancellation of Services; Terminating PRN™ Access
We may cancel your registration or terminate your status as a provider resource with or without cause and without prior notice to you.

Documentation of Transactions
The Provider can get a receipt at the time it enters into any transaction with us. Receipts and statements will constitute admissible evidence.

Your Duties and Liabilities
(1)You agree to examine the application before accepting the referral (2) report the termination, suspension, or provisional licensing status before accepting referral; failure to this may require removal of the client, cancellation of services, and payment for Client Finders Fee; and (3) make available reports for future placement coordination upon request. 

 

You agree not to assign to any third party any client of yours referred by us relating to any transaction, and any such assignment shall be a breach of agreement.  

Client or Client Representative Dispute

If Client or Client Representative becomes in dispute for any reason, we, in our discretion, may refuse to authorize communication or refund any portion of the balance until the dispute is settled.

Client Finder Fee is not Transferable
Each Client Finder fee is for an individual client and are not transferable except where agreed in writing by PRN™. No assignment, encumbrance or other transfer of the Card Finder Fee will be valid unless our written consent has first been obtained and a memorandum thereof is entered on our records.

Service Charges for Electronic Fund Transfers; Fees and Penalties
Their may be a charge to you for EFT service charges, returned checks, and insufficient funds. The issuing bank may charge you a fee for such event as will PRN™. You agree to pay the fees and penalties assessed by the bank and us according to this Agreement. All fees and penalties (when applicable) will be automatically placed in collections or assessed against your account, and you will be responsible for any deficiency. You understand and agree that federal law governs banks as to the fees charged by banks for their services. You acknowledge and agree that PRN™ use their sole discretion in determining the amount of fees charged for services to you. Any collection affiliates may charge additional fees for performance of such services.

Disclosure of Provider Information
We may disclose information about the Provider to other organizations or to third parties:
1. Where it is necessary for completing transactions, or
2. In order to comply with government agency or court orders, or
3. If we need to protect or enforce our legal rights, or
4. If we otherwise deem appropriate, to the extent permitted by law.

Sharing Information
Except as otherwise prohibited by law, we may provide to others, including but not limited to, consumers and licensing agencies, information about our experiences with you. 

 

Customer Contact
You agree that you and we have an established business relationship, and unless otherwise prohibited by law, that Providers Resource Network may contact you to offer you products and services that this company thinks may be of interest to you. Such contacts are not unsolicited, and Providers Resource Network may contact you by telephone or by an automated dialing and announcing device or by fax, e-mail or other form of electronic communication, and Providers Resource Network may monitor telephone calls with you to assure quality service.

Waiver
Failure by us to exercise any of our rights under this Agreement shall not be a waiver of any of our rights.

Severability
In the event that one or more provisions of this Agreement shall for any reason be held invalid or illegal, such holding will not affect the enforceability of any other provision.

Force Majeure
We will have no liability for any delays or failure of performance caused in whole or in part by fire, labor disputes, power failures, acts or omissions of civil authorities, civil disturbances, computer malfunction, or any causes beyond our control.

Limitation of Liability
You agree that in performing the duties imposed under this Agreement in no event will we be liable for any consequential, indirect or special damages.

Governing Law
This Agreement will be governed by federal law and where not preempted by or in conflict with federal law, the laws of the State of
Virginia, without regard to conflict of law principles.

Provider’s Referrals
Make referrals often; enjoy PRN™ rewards as a provider.  As a provider, you are entitled to the same benefits our referring sources enjoy when making referrals.  Use PRN to coordinate your discharge planning and receive incentives for making referrals.
